1. Parties and scope
1.1. These Terms of Service (the "Terms") govern your use of the rayomo.com domain and its subdomains, the Rayomo mobile apps (iOS and Android) and all services provided through them (the "Service" or "Rayomo").
1.2. The provider and seller of the Service is:
| Company name | — ("Umutla", the "Company", "we") |
| MERSIS No. | — |
| Trade Registry No. | — |
| Tax Office / Tax No. | — / — |
| Address | — |
| Registered e-mail (KEP) | — |
| Phone | — |
| info@rayomo.com · destek@rayomo.com |
1.3. Anyone who uses the Service, creates an account or makes a purchase (the "User", "you") confirms that they have read and accept these Terms, the Acceptable Use Policy, the Privacy Policy and the Cookie Policy. Information on how your personal data is processed is provided in the KVKK Privacy Notice; that notice is not a contractual term and does not depend on your consent.
1.4. Purchases of credit packs or subscriptions are additionally governed by the Pre-Contractual Information Form and the Distance Sales Contract. If these Terms conflict with the distance sales contract on any matter relating to a purchase, the distance sales contract prevails.
1.5. For users acting as consumers, the mandatory provisions of Law No. 6502 on Consumer Protection (6502 sayılı Tüketicinin Korunması Hakkında Kanun) and related legislation remain unaffected. Nothing in these Terms may be interpreted so as to restrict rights that you cannot waive by law.
2. Description of the Service
2.1. Rayomo is a platform that lets users create AI-assisted images and videos by uploading their photos and videos, using ready-made templates or entering text. Its main features are:
- Creating from a template: Choosing a template from the gallery and creating a new image or short video with your own photo (of a person or a product).
- Video replace: Replacing the person shown in one of Rayomo's ready-made trending templates, or in a video you upload, with the person in the photo you upload. Rayomo's main purpose is to let users cast themselves as the lead in popular/viral video formats.
- Quality tiers: Fast, Quality and Premium tiers, plus duration and resolution options for videos.
- Format picker: Target aspect ratios such as YouTube Shorts, Instagram Reels, TikTok, Story (9:16), Post (4:5), Square (1:1), YouTube (16:9) and Cinema (21:9).
- My creations: Your personal area where the content you create is stored and can be downloaded or deleted.
- Feed: An optional area where, if you wish, you can share your creations publicly after they pass moderation.
2.2. Generation is carried out through third-party AI infrastructure providers selected by the Company. The Company may change the infrastructure used, and the technology and models behind the tiers, without prior notice; such a change does not retroactively affect the value of credits you have purchased or the credit cost shown to you before a generation starts.
2.3. The Service may be offered in Turkish, English, Spanish, Portuguese (Brazil), German, French, Japanese, Korean, Indonesian and Arabic. Available languages may change over time.
3. Conditions of use and eligibility
3.1. Age limit. The Service is available only to natural persons who are at least 18 years old and have the legal capacity to enter into contracts, or to legal entities acting through such persons. By creating an account you confirm that you are over 18. Accounts of users found to be under 18 will be closed.
3.2. If the law of the country where you are located prohibits the use of the Service or certain of its features, you must not use the Service.
3.3. Anyone whose account has previously been closed for breaching these Terms may not open a new account without the Company's written permission.
3.4. If you use the Service on behalf of a business, you confirm that you are authorised to bind that business to these Terms. In that case, rights specific to consumer legislation may not apply.
4. Account
4.1. An account is created using a one-time sign-in link sent to your email address or through supported third-party accounts (e.g. Sign in with Google or Apple). You must provide accurate and up-to-date information.
4.2. You are responsible for the security of your account and your email account. Do not share sign-in links with anyone. If you notice any unauthorised activity on your account, report it immediately to destek@rayomo.com.
4.3. Accounts are personal; they may not be transferred, sold, rented or shared with others.
4.4. You can delete your account at any time under Account → Settings (see Section 13 and Deleting your account and downloading your data).
5. Credits
5.1. Nature of credits. Creations on Rayomo are paid for with "credits". A credit is a contractual right of use that can be used only as payment for generations within the Service. Credits:
- are not money, electronic money, a payment instrument, a security or a gift voucher;
- cannot be exchanged for cash, do not earn interest, and cannot be transferred to another account or person or sold;
- cannot be used in exchange for any goods or services outside the Service.
5.2. Types of credits.
| Type | How you get it | Where it can be used | Validity |
|---|---|---|---|
| Pack credits | Purchasing a credit pack (including bonus/gift credits included with the pack) | All generations (images and videos) | No expiry for as long as your account remains open |
| Subscription credits | Each billing period of a Plus or Pro subscription | All generations | Until the end of the period in which they are granted and the following period (one period of rollover); any unused balance then expires |
| Trial / promotional credits | Sign-up, campaigns, invitations, etc. | Image generations only; cannot be used for video generations | As stated in the campaign terms; the Company may change the terms of trial and promotional credits or end them going forward |
5.3. Order of use. For each generation, the credits that expire soonest are used first; non-expiring pack credits are used last. Trial/promotional credits can be used for image generations.
5.4. Generation cost. The credit cost of each generation depends on the type of generation, quality (tier), duration and resolution, and is shown on screen before you start the generation. When you start the generation, this amount is set aside (reserved) from your balance. If the actual cost is lower than shown, the difference is returned to your balance; you will never be charged more than the amount shown.
5.5. Failed generations. If a generation cannot be completed because of a technical error, the full amount of reserved credits is automatically returned to your balance.
5.6. Generations blocked by our rules. If an uploaded file is found to violate our rules before generation, the generation does not start and no credits are deducted. If, after a generation is completed, the output is caught by automated content checks (e.g. a nudity/sexual content filter), the output is not shown to you or stored; however, because the generation took place and costs were incurred, the reserved credits are not refunded. If you believe an automated filter made a wrong decision, you can contact destek@rayomo.com with the generation ID; if the block is found to be wrong, the credits will be refunded.
5.7. Price changes. The prices of credit packs and subscription plans, and the credit costs of generations, may be changed going forward. A change does not affect completed purchases, the amount you approved on the checkout page or generations that have already started.
5.8. Credit reversal on refunds and chargebacks. If a purchase is refunded, charged back or refunded by the App Store/Google Play, all credits granted with that purchase are removed from your balance. If some of those credits have already been used, your balance may become negative; you cannot create new generations until the negative balance is cleared, and new purchases are first applied to clearing it.
5.9. Account closure. If you delete your account, any unused credits end together with the account, without prejudice to your statutory rights. We therefore recommend using your credits before deleting your account. Unused credits are also not refunded if the Company closes the account for just cause under Section 12; however, if the Company discontinues the Service entirely through no fault of yours, the price of unused pack credits will be refunded on a pro rata basis.
5.10. If an obvious error in a balance is detected (e.g. extra credits added due to a system error), the Company has the right to correct the balance; you will be informed if this happens.
6. Purchases, subscriptions and payment
6.1. Currency and taxes. On the website, prices are shown and charged in US dollars (USD). The prices shown are final prices including VAT. Currency conversion or foreign transaction fees charged by the bank that issued your card are outside the Company's control.
6.2. Web payments. Payments on the web are taken by credit or debit card through a payment institution licensed by the Central Bank of the Republic of Türkiye. Your card details are not stored on the Company's servers. Instalment options are not offered.
6.3. Mobile app purchases. In the mobile apps, purchases are made through the Apple App Store or Google Play, using the respective store's payment system, pricing, currency and terms. Because of store commissions, store prices may differ from (and are usually higher than) web prices; the number of credits granted is the same. Refunds for mobile purchases and subscription management are handled through the respective store.
6.4. Subscription plans. The Plus and Pro plans are monthly and grant the plan's credits at the start of each period (e.g. Plus: 1,100 credits per month; Pro: 3,500 credits per month — current figures are on the pricing page). Subscription credits can be used until the end of the period in which they are granted and the following period.
6.5. Renewal. A subscription renews at the end of each period until you cancel it. For web subscriptions, renewal takes place either automatically from your saved card or by you making the renewal payment, depending on the method shown to you on the checkout page. If the renewal payment cannot be collected, the subscription ends after a 3-day grace period.
6.6. Cancellation. You can cancel your subscription at any time. Cancellation takes effect at the end of the current period; until then, the subscription and the credits granted remain available. No partial refunds are given for a period that has already started. Web subscriptions are cancelled under Account → Subscription, and mobile subscriptions in the App Store or Google Play subscription settings.
6.7. Right of withdrawal. Because credits are added to your account immediately after payment is confirmed and performance of the digital service begins immediately with your consent, there is no right of withdrawal under Article 15(1)(ğ) and (h) of the Distance Contracts Regulation (Mesafeli Sözleşmeler Yönetmeliği). For details and refund terms, see the Refund and Cancellation Policy.
6.8. Invoices. An electronic invoice (e-invoice/e-archive invoice) is issued for your purchases and sent to your registered email address. For billing questions, contact fatura@rayomo.com.
7. Content and intellectual property rights
7.1. Definitions
- Input: The photos, videos and audio you upload and the text (prompts) you write.
- Output: The images and videos the Service creates based on your Inputs and the template you choose.
- Rayomo Content: All content belonging to the Company or its licensors, including templates, template previews, trending template videos, the interface, software, text, logos and trademarks.
7.2. Your Inputs
7.2.1. The rights in your Inputs belong to you (or the relevant rights holders). The Company does not claim ownership of your Inputs.
7.2.2. For each Input, you represent and warrant that:
- you hold all rights, licences and permissions needed to use and upload the Input and to process it through the Service;
- every person recognisably shown in the Input (including people other than you) has given explicit permission for their image to be used in this way;
- if you upload a video belonging to someone else (e.g. a video that has spread/gone viral on social media), you are the rights holder of that video or have obtained a licence/permission from the rights holder covering this use, and the recognisable people in the video have also given their consent. The fact that a video is publicly available on the internet, or is for "personal use", "parody" or "entertainment", does not give you the right to upload and alter it;
- the Input does not violate the law or the Acceptable Use Policy.
7.2.3. Licence you grant for the Service. So that we can provide the Service, you grant the Company a worldwide, non-exclusive, royalty-free permission, sub-licensable (only to providers we engage for these purposes), lasting until the Input/Output is deleted, to use your Inputs and Outputs solely for the purposes of providing the Service to you, storing, displaying and processing them (including transmitting them to third-party AI infrastructure providers), converting formats, running content safety checks, preventing abuse and complying with legal obligations.
7.2.4. Model training. The Company does not use your Inputs or Outputs to train AI models and does not sell them. Section 8 applies to content you share publicly in the Feed.
7.2.5. Retention. Uploaded files are automatically deleted 30 days after the upload completes (incomplete uploads after 24 hours); you can delete them earlier if you wish. Outputs are kept until you delete them or delete your account.
7.3. Your Outputs
7.3.1. To the extent permitted by applicable law and provided that you comply with these Terms, the Company assigns to you all rights it may have in the Outputs; you may use, reproduce, publish and modify Outputs, including for commercial purposes.
7.3.2. However, you acknowledge that:
- whether AI-generated content is protected by copyright, and who owns it, varies from country to country and may be uncertain; the Company does not guarantee that you will have an exclusive right in any Output;
- other users may obtain similar or identical Outputs with similar inputs; the rights in such Outputs do not belong exclusively to you;
- an Output does not extinguish third-party rights (copyright, trademarks, personality rights, personal data) contained in your Input. For example, using an Output created from someone else's video for commercial purposes requires permission from the rights holder of that video;
- no rights are transferred to you in the people, places, style or composition shown in a template's preview; the template itself is Rayomo Content. Some templates are based on openly licensed sources; their attribution and licence information is on the Licences page.
7.3.3. You are responsible for complying with applicable law when using Outputs (including rules on advertising, consumer protection, personal data, elections and AI labelling). When publishing Outputs that show real people and could create the impression of being real, you must clearly state that they were generated with AI.
7.4. AI labels and watermarks
Outputs may contain metadata indicating that they were generated with AI (e.g. content provenance information) and visible or invisible watermarks. You agree not to remove, alter or conceal these marks.
7.5. Rayomo Content
All rights in Rayomo Content belong to the Company or its licensors. These Terms give you a limited, non-exclusive, non-transferable and revocable permission to use the Service personally for its intended purpose. Rayomo's trending video templates are original reinterpretations produced or licensed by the Company; they are not copies of the original viral videos belonging to third parties. Copying the Service or Rayomo Content, bulk downloading (scraping), reverse engineering, or using them to develop a competing service is prohibited.
8. Public Feed
8.1. Your creations are private by default; only you can see them. Sharing a creation in the Feed is entirely optional.
8.2. When you request to share, the creation first goes through moderation review; if approved, it is published in the Feed, and if rejected, it remains private. The Company has the right not to accept content into the Feed, or to remove it from the Feed, without having to give reasons.
8.3. For content you share in the Feed, you grant the Company a worldwide, non-exclusive, royalty-free licence to display, reproduce, convert into suitable formats and distribute that content within the Service and for promoting Rayomo (the website, the apps and Rayomo's official social media accounts). This licence ends when you remove the content from the Feed or delete it, subject to a reasonable technical period (at most 30 days for caches and backups) and to promotional publications made before removal. The style and composition features of Feed content may be studied in order to create new templates; however, your face or any image that reveals your identity will not be used in a template preview or advertisement without your separate permission.
8.4. If you share content in the Feed that features a recognisable person (including yourself), you confirm that that person has given permission for public publication. Publication in the Feed of content containing your own image is subject, as regards your personal data, to the Explicit Consent Text.
8.5. Other users can report content in the Feed. Content that receives a certain number of reports may be automatically hidden until it is reviewed.
9. Acceptable use and moderation
9.1. You must use the Service in accordance with the Acceptable Use Policy. In particular, the following are strictly prohibited: creating realistic fake content (deepfakes) showing other people without their consent; showing minors in a sexual or violent context; creating misleading content by impersonating celebrities or real people (including the original creator of a video); non-consensual intimate content; hate speech; fraud; and election manipulation.
9.2. The Company may review uploads and outputs using automated tools and, where necessary, human review; it may block, delete or disable access to content that violates the rules, and may share it with the relevant authorities at the request of competent authorities or where required by law. If child sexual abuse material (CSAM) is detected, it is reported to the relevant authorities.
9.3. Automated moderation systems can make mistakes. To appeal a decision, write to destek@rayomo.com; appeals are reviewed by a human.
9.4. For notices of copyright or personality rights infringement, use the Copyright and Rights Infringement Notice process.
10. Notices about AI outputs
10.1. AI outputs are probabilistic. The same input may give different results; outputs may be inaccurate, incomplete, untrue or unexpected, or contain features you did not want (e.g. drift in facial likeness, distortions in hands/text, changes in skin tone or apparent age).
10.2. Outputs do not reflect the Company's views. It is your responsibility to check Outputs before publishing or using them.
10.3. An Output not meeting your expectations is not, on its own, a reason for a credit refund for a generation that was technically completed successfully. In the event of an obvious technical defect (e.g. a corrupted file, a black screen, or a video that cuts off silently), you can contact destek@rayomo.com.
11. Continuity of the Service
11.1. The Service is provided "as is" and "as available". The Company aims for uninterrupted, error-free operation but does not guarantee it; the Service may be temporarily interrupted because of maintenance, updates, failures at infrastructure providers or force majeure.
11.2. The Company may add, change or remove templates, features, tiers and supported formats. You will be given reasonable advance notice of any change that substantially eliminates the usability of credits you have purchased.
12. Suspension and termination of accounts
12.1. The Company may temporarily suspend or permanently close your account in cases of breach of these Terms or the Acceptable Use Policy, unlawful use, suspected fraud or payment abuse, a request from a competent authority, or the need to protect other users or the Service. Except in cases of serious violations (e.g. CSAM, non-consensual intimate content), prior notice will be given wherever possible, along with an opportunity to provide an explanation.
12.2. If an account is closed for just cause, unused credits are not refunded (Section 5.9).
12.3. Termination of the contract does not affect rights and obligations that arose before termination, or the provisions of Sections 7.2.2 (representations and warranties), 14 (liability), 15 (indemnity) and 17 (disputes).
13. Account deletion and your data
When you delete your account, your Inputs and Outputs are deleted from storage; records that must be kept by law (e.g. invoice and payment records, consent records, access logs) are retained only for the relevant retention period. For details, see the Privacy Policy.
14. Limitation of liability
14.1. The Company's liability for intent, gross negligence, harm to human health and other cases where liability cannot be limited by law remains unaffected. Consumers' mandatory rights under Law No. 6502 and the Turkish Code of Obligations No. 6098 (6098 sayılı Türk Borçlar Kanunu) are not limited by this section.
14.2. Subject to the exceptions above, the Company is not liable for indirect damages, loss of profit, loss of reputation, loss of data (except where caused by the Company's fault), third-party claims arising from the use of Outputs, or damages arising from the user's Inputs.
14.3. Liability based on slight negligence is, to the extent permitted by applicable law, limited to the total amount the user paid to the Company in the 12 months before the date the damage arose. For users who are consumers, this limitation applies only to the extent permitted by law.
14.4. The Company is not liable for disputes between users, or between users and third parties, arising from Outputs, unless the Company itself is at fault. As a hosting provider (yer sağlayıcı) for user content within the meaning of Law No. 5651 (5651 sayılı Kanun), the Company removes unlawful content as provided by law once it is notified of it.
15. Indemnity
You agree to cover, in proportion to your fault, the losses and reasonable defence costs the Company incurs because of claims made against the Company by third parties (including claims for copyright, personality rights or personal data violations) arising from your Inputs, the way you use Outputs or your breach of these Terms. For consumers, this provision applies to the extent permitted by law.
16. Changes to the Terms
16.1. The Company may update these Terms for reasons such as changes to the Service, changes in legislation or security needs. Material changes will be announced by email and/or in-Service notification at least 15 days before they take effect. Changes made because of a legal requirement or for security reasons may take effect sooner.
16.2. Continuing to use the Service after a change takes effect means that you accept the updated Terms. If you do not accept them, you can delete your account; any ongoing subscription will end at the end of its period. Changes do not alter the terms of previously completed purchases to your detriment.
17. Governing law and dispute resolution
17.1. These Terms are governed by the laws of the Republic of Türkiye.
17.2. Consumers: For disputes arising from transactions made as a consumer, you may apply to the Consumer Arbitration Committee (Tüketici Hakem Heyeti) at the place where you purchased the goods or service or where you reside, within the monetary limits announced each year by the Ministry of Trade, and to the Consumer Court (Tüketici Mahkemesi) for disputes exceeding those limits. Applying to a mediator may be mandatory before filing a lawsuit in the consumer court. Consumers resident outside Türkiye retain the rights arising from the law of their place of residence that cannot be waived by contract.
17.3. Users who are not consumers: The Istanbul (Central) Courts and Enforcement Offices have jurisdiction over disputes.
17.4. In disputes, the Company's electronic records constitute evidence, subject to proof to the contrary, within the framework of Article 193 of the Code of Civil Procedure (HMK).
18. Miscellaneous
18.1. If any provision of these Terms is held invalid, the validity of the remaining provisions is not affected.
18.2. The Company's failure to exercise a right does not mean that it has waived that right.
18.3. The User may not transfer their rights under these Terms without the Company's written consent. If the Company transfers the Service, it may transfer these Terms to the transferee; you will be notified if this happens.
18.4. Notices will be sent to your registered email address or within the Service. Notices to the Company should be sent to: info@rayomo.com, — or —.
18.5. These Terms have been prepared in Turkish. In the event of any conflict between versions in other languages and the Turkish version, the Turkish version prevails; however, this does not affect your rights arising from the mandatory consumer law of your place of residence.
